Services we provide to brand and operator clients are governed by a separate written Client Services Agreement, which controls in the event of any conflict with these Terms.
The Site concerns beverage alcohol and the alcohol import, warehousing, and distribution business. It is intended for individuals who are at least twenty-one (21) years of age. By using the Site, you represent and warrant that you are at least 21 years old. We do not knowingly direct the Site to, or collect information from, anyone under 21.
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site for lawful, informational, and business-inquiry purposes.

Nothing in these Terms grants you any right to use the Stateside Imports name, logo, or marks without our prior written permission. You may not frame the Site or use meta tags or hidden text using our marks without written consent.
If you submit an inquiry, request, comment, or other information through the Site (a "Submission"), you represent that the Submission is accurate, lawful, and does not infringe any third party's rights.
We treat business contact information you submit in accordance with our Privacy Policy. We do not claim ownership of confidential business information you send us through an inquiry form; however, general feedback, suggestions, or ideas you voluntarily provide about our services may be used by us without restriction or compensation.
You are responsible for the content of your Submissions. Please do not send us confidential or proprietary information through the Site's general contact forms unless we have agreed in writing to receive it.

TO THE FULLEST EXTENT PERMITTED BY LAW, STATESIDE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site or its servers are free of viruses or other harmful components. You assume responsibility for any reliance you place on Site content.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, STATESIDE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, RELIANCE, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS (US$100), OR THE AMOUNT YOU PAID US TO ACCESS THE SITE, WHICHEVER IS GREATER. THIS LIMITATION DOES NOT APPLY TO SERVICES PROVIDED UNDER A SEPARATE CLIENT SERVICES AGREEMENT, WHICH CONTAINS ITS OWN LIABILITY TERMS.
This limitation reflects the allocation of risk between the parties and survives any failure of an essential purpose of any limited remedy. Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so some of the above may not apply to you.
You agree to defend, indemnify, and hold harmless Stateside and its members, managers, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your breach of these Terms, (b) your violation of any law or the rights of a third party, or (c) your use of the Site.
The Site may contain links to third-party websites or resources that we do not control. We provide these links for convenience only and are not responsible for the content, accuracy, or practices of any third-party site. Accessing third-party sites is at your own risk and subject to their terms and privacy policies.
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect information.
We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time by posting an updated version with a new "Last Revised" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to the Site or these Terms will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Loudoun County, Virginia, and you consent to personal jurisdiction there.
Any claim or cause of action arising out of or relating to your use of the Site must be filed within one (1) year after the claim arose, or it is permanently barred.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Stateside regarding the Site and supersede all prior understandings regarding the Site.
If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full effect.
Our failure to enforce any provision is not a waiver of our right to do so later.
Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Stateside.
You may not assign these Terms without our prior written consent. We may assign these Terms to a successor in interest.
